Tradeweb agrees to buy bond-trading platform Trumid for about $1.97 billion
Tradeweb Markets is making a big bet on corporate bond trading. The electronic trading operator said Monday it agreed to acquire Trumid, a financial technology company that runs an electronic credit trading marketplace, for about $1.97 billion, subject to customary adjustments.
The price breaks down into $1.75 billion for the business and about $220 million for tax assets Tradeweb is acquiring, according to a press release filed with an 8-K. Tradeweb will pay roughly $1.89 billion in cash, funded primarily with cash on hand, plus $82 million in equity.
Trumid's platform focuses on U.S. dollar-denominated investment-grade, high-yield, distressed and emerging-market bonds. Tradeweb said the deal would let it reach earlier into the life of a bond, linking new-issue trading with secondary trading on a single platform.
Why Tradeweb wants it
"We believe U.S. credit represents a significant long-term growth opportunity," Tradeweb CEO Billy Hult said in the release, pointing to the market's continued shift toward electronic execution.
The company said Trumid's footprint with hedge funds and systematic traders complements its own relationships with large institutional investors. It also plans to combine the two platforms' trading protocols, including Tradeweb AllTrade and Trumid's Swarms and Attributed Trading.
Deal terms
Tradeweb expects the acquisition to be accretive to adjusted earnings per share within the first full year after closing, with accretion rising as expense synergies are realized.
Both boards unanimously approved the deal, which still needs regulatory approvals. Tradeweb is targeting a close in the first half of 2027. If the agreement is terminated under certain circumstances, Tradeweb would owe Trumid a $105 million termination fee, according to its 8-K.
Tradeweb said it will discuss the deal on a conference call on Oct. 20 and report third-quarter results on Oct. 29.
