Strategy Shareholders Approve Daily Dividends on STRC, STRF, STRK and STRD Preferred Stock
Strategy shareholders approved a plan to let the company's four perpetual preferred stocks pay dividends every day, with the change starting Nov. 1 for its Stretch preferred shares, according to an 8-K the company filed Wednesday.
At a special meeting held Wednesday, the required vote of common shareholders was obtained, based on preliminary results, to adopt amended certificates of designations for the 10.00% Series A Perpetual Strife Preferred Stock, the Variable Rate Series A Perpetual Stretch Preferred Stock, the 8.00% Series A Perpetual Strike Preferred Stock and the 10.00% Series A Perpetual Stride Preferred Stock. Those securities trade under the symbols STRF, STRC, STRK and STRD.
When the change takes effect
Once the amended certificates are filed and effective, the daily dividend schedule begins on Nov. 1, 2026, for STRC and on Jan. 1, 2027, for STRF, STRK and STRD, the company said. Under the new schedule, each of those preferred stocks will have a dividend record date on every calendar day, including weekends and market and bank holidays.
How weekends will work
For shares cleared through the Depository Trust Company, a record date that lands on a weekend or other DTC holiday will be treated as falling on the preceding non-holiday day. For shares traded on Nasdaq, the ex-dividend date is generally the same as the record date when that date is a trading day.
The filing gives an example. Dividends with record dates of Nov. 6, 7 and 8, 2026, a Friday, Saturday and Sunday, would all be treated as having a Nov. 6 record date and ex-dividend date, and all three would be paid together on Monday, Nov. 9.
Because trades settle one business day later, the company expects that an investor who buys the shares on Friday, Nov. 6, would not receive any of those three dividends, while an investor who sells that day would still receive all three.
A caveat for investors
Dividend entitlement may differ for shares not cleared through DTC, or for shares traded on venues other than Nasdaq that offer weekend or holiday trading, Strategy said. It added that individual brokers may have their own policies and that investors should consult their brokers.
