Prudential to sell Brazil and Mexico insurance units to CNP Assurances for about $4 billion
Prudential Financial is selling its insurance businesses in Brazil and Mexico to the CNP Assurances Group for about $4.025 billion in cash, the latest step in the Newark, New Jersey-based financial services company's plan to exit emerging markets.
The company said Tuesday in an 8-K that it signed definitive agreements to sell 100% of its equity in Prudential do Brasil Seguros S.A. and Prudential Seguros Mexico, S.A. de C.V. CNP Seguradora, CNP's Brazilian subsidiary, is buying the Brazil business, while CNP Assurances Holding is buying the Mexico business. The price is subject to certain closing adjustments.
Prudential expects the deal to close in the second half of 2027, pending regulatory approvals and customary closing conditions.
Where the money goes
Prudential intends to use the proceeds to support its capital allocation priorities and to invest in its "highest-priority growth opportunities" in retirement, asset management and select protection businesses in the U.S., Japan and select European markets, according to a press release filed with the 8-K. Additional deal terms were not disclosed.
"We remain focused on narrowing our geographic footprint and building a simpler, more focused Prudential," Chairman and CEO Andy Sullivan said in the release.
Part of a wider pullback
The agreement follows Prudential's sale of its interests in several joint ventures, including its stakes in PT PFI Mega Life Insurance in Indonesia, Alexforbes in South Africa and ICEA LION in Kenya, which the company said closed on Oct. 13. Prudential described the moves as "disciplined execution" of its plan to exit emerging markets.
The buyer, a subsidiary of La Banque Postale, reported net profit of 1.492 billion euros in 2025 and is Brazil's third-largest insurer, according to the release. The deal strengthens CNP's capabilities in Brazil while establishing a presence in Mexico, the release said. CNP CEO Marie-Aude Thépaut called it "a major step forward in our development in Latin America" and pointed to the businesses' Life Planner network.
Morgan Stanley advised Prudential, and Goldman Sachs advised CNP Assurances.
