Markel Signs $1.2 Billion Adverse Development Cover With Enstar on Run-Off Reinsurance Book
Markel Group agreed to hand off much of the risk on its run-off reinsurance book to an Enstar unit, signing an adverse development cover that protects it against $1.2 billion of potential reserve deterioration beyond what it has already set aside.
The deal, signed Oct. 27 with Enstar's Cavello Bay Reinsurance Limited, covers a portfolio of Markel's run-off Global Reinsurance business and certain exited insurance lines carrying net reserves of $4.8 billion, according to an 8-K filed on Wednesday.
How the cover works
Markel will keep the first $2.6 billion of covered losses paid on or after April 1, 2026. Cavello Bay will then reinsure 100% of losses above that retention, taking on $2.3 billion of the existing reserves plus $1.2 billion of additional coverage for adverse development.
Markel's insurance subsidiaries will pay a reinsurance premium of $2.4 billion, settled through a transfer of assets at closing. Of that, $500 million will go to the reinsurer outright, and the balance will be placed in a trust account for Markel's benefit to secure Cavello Bay's obligations. In a press release, Markel said the deal includes a risk premium of $120 million paid to Enstar.
Markel will retain claims control, and the agreement gives it the right to commute the deal if certain recapture trigger events occur.
What's covered
The subject reserves include 2025 and prior underwriting years written in Markel's Global Reinsurance division, along with exited risk-managed professional liability, architects and engineers and other run-off lines in its insurance operations.
Markel said the coverage reduces the level of prudency management needs in its best estimate of ultimate losses, so it expects the transaction to have an immaterial impact on underwriting results in the fourth quarter.
Sharpening the specialty focus
"This transaction provides additional certainty as these liabilities continue to run off and allows us to continue our focus on growing our core specialty insurance business," said Simon Wilson, CEO of Markel Insurance.
The closing is subject to regulatory approval and other customary conditions and is expected by the end of the fourth quarter of 2026.
