IonQ closes roughly $2 billion stock-and-warrant offering, adding 100 million warrants at $69.46
IonQ has raised about $2 billion in a single offering, and it attached a large block of warrants that could bring in billions more if its stock rises far enough.
The company said in an 8-K filed Friday that the deal closed on Oct. 16. Under an Oct. 14 underwriting agreement with J.P. Morgan Securities as sole underwriter, IonQ sold 20.5 million shares of common stock and 29.5 million pre-funded warrants. Each share and each pre-funded warrant came with two Series C warrants, at a combined public price of $40.00.
That works out to 50 million combined units, or roughly $2 billion at the public offering price. The underwriting agreement shows J.P. Morgan bought the shares at $39.80 apiece and the pre-funded warrants at $39.7999.
The pre-funded warrants were sold at nearly the full price and can be exercised for a nominal $0.0001 a share. The 100 million Series C warrants are the bigger wildcard. They can be exercised at $69.46 a share, are exercisable immediately and run for seven years. If every Series C warrant were exercised for cash at that price, IonQ would collect about $6.9 billion more.
Counting the shares, the shares underlying the pre-funded warrants and the Series C warrants, the deal covers up to 150 million IonQ shares. Both warrant agreements bar holders from exercising if they would own more than 4.99% of the outstanding stock, a cap that can be raised to no more than 9.99%.
The Series C warrants also include a takeover provision. In a fundamental transaction such as a sale of the company, holders can ask IonQ or its successor to buy the warrants back in cash at a Black-Scholes value, according to the filing.
The 8-K does not lay out how IonQ plans to use the money. The underwriting agreement says proceeds will be applied as described under "Use of proceeds" in the offering prospectus. Certain shareholders, officers and directors signed lock-up agreements with the underwriter as a condition of the deal.
