Insmed adds former Sanofi CEO Paul Hudson and Verily CFO Utpal Koppikar to its board
Insmed is bringing a former Sanofi chief executive into its boardroom. The biopharmaceutical company said Tuesday it added Paul Hudson, who led Sanofi from September 2019 through February 2026, and Utpal Koppikar, chief financial officer of Verily Health, as independent directors.
Insmed's board approved the appointments on Oct. 16, effective Oct. 19, according to its 8-K. Hudson joins as a Class II director and will sit on the Compensation Committee. Koppikar joins as a Class I director and will serve on the Audit Committee. Both stand for election at the 2027 annual meeting.
Who is joining
Before Sanofi, Hudson was CEO of Novartis Pharmaceuticals from 2016 to 2019 and a member of the Novartis Executive Committee, and earlier held senior roles at AstraZeneca, including president of AstraZeneca United States, the filing says.
Koppikar has been Verily's CFO since April 2023, overseeing finance, real estate and workplace services, and corporate development. He was previously executive vice president and CFO of Atara Biotherapeutics from 2018 to 2023 and held senior finance roles at Gilead Sciences and Amgen. He also sits on the board of C4 Therapeutics.
"Together, they further strengthen our Board's capabilities at a pivotal time for Insmed," Chair and CEO Will Lewis said in a press release filed with the 8-K.
Hudson said he was "honored to join the Board at such an exciting inflection point for the Company."
What they will be paid
Each new director will receive an annual cash retainer of $65,000, plus $12,500 a year for committee service, both prorated for this year. Each will also get restricted stock units with a grant date fair value of about $585,000, vesting in equal parts on each of the first three anniversaries of the award if they remain on the board.
Insmed said neither director was selected under any arrangement with another person, and neither has a material interest in a transaction requiring related-party disclosure.
