Henry Schein taps former ITT finance chief Emmanuel Caprais as CFO
Henry Schein is changing finance chiefs heading into year-end.
The healthcare distributor said Thursday that Emmanuel Caprais, who served as chief financial officer of ITT from 2020 until May 2026, will become its senior vice president and CFO effective Nov. 4, 2026. Ronald N. South, CFO for the past four years and an 18-year company veteran, will move into a senior advisor role on the same date, according to a regulatory filing.
South stays in the CFO seat through Nov. 3, including through the completion of Henry Schein's third-quarter earnings process. Caprais joins Oct. 12 as senior financial advisor to allow for what the company called a structured transition. He will report to CEO Frederick M. Lowery.
Lowery called Caprais "a proven financial leader" and said his ability to connect financial discipline with business execution will help the company "accelerate our value creation work."
Caprais, 51, spent his ITT career in roles including leading financial planning and analysis and investor relations and serving as segment CFO for ITT's Motion Technologies and Industrial Process businesses, the filing said. He previously held finance roles at Magneti Marelli and Valeo.
His offer letter sets an annual base salary of $750,000 and a target annual bonus of $750,000. His 2027 long-term incentive award is expected to carry a grant-date fair value of $2.5 million, and he is slated to receive a $250,000 sign-on equity award in December 2026, split evenly between performance-based and time-based restricted stock units. He also gets a $25,000 cash sign-on bonus.
South will receive payments and benefits under the company's executive severance plan in connection with the transition, the filing said.
