Franklin Electric to Buy Australian Mine Dewatering Specialist Challenge Pumps for About $181 Million
Franklin Electric agreed to buy Challenge Pumps, an Australian maker of underground mine dewatering equipment, for about A$259 million, or roughly US$181 million, in cash, the company said Tuesday, pushing deeper into water management for the mining industry.
The deal also includes a cash earnout of up to A$20 million, or about US$14 million, tied to future revenue performance, according to an 8-K filed Tuesday. The earnout's measurement period ends in July 2027, and nothing is payable if results fall below a set base threshold.
What Franklin is buying
Perth-based Challenge Pumps designs and manufactures high-head dewatering pumps, engineered pumping systems and aftermarket solutions for underground mines, serving mining companies and contractors in Australia and international mining regions.
The business generated about US$52 million (A$73 million) of revenue and about US$18 million (A$26 million) of EBITDA in its fiscal year ended June 2026, an EBITDA margin of roughly 35%, according to the press release attached to the filing. More than 55% of its revenue over the past three years came from recurring aftermarket parts, service and support.
Expected payoff
Franklin Electric expects the acquisition to add to adjusted earnings per share in 2027 and sees revenue and cost synergies from its global commercial, operating and supply-chain footprint.
"This acquisition represents another important step in our strategy to build a broader, more resilient flow control company," CEO Joe Ruzynski said in the release.
Financing and timing
The company plans to pay for the deal with cash on hand and borrowings under its existing credit facilities. It expects its net leverage ratio to be about 1.8x after closing.
Closing is expected in 2026, subject to completion of Challenge Pumps' annual audit and other customary conditions, including required third-party consents, the 8-K said. The purchase price is subject to adjustment under the agreement.
Where it fits
After the deal closes, Challenge Pumps is expected to be reported within Franklin Electric's Water Systems segment and will keep selling under the Challenge Pumps brand.
Franklin Electric said the business recently completed a significant facility expansion, giving it capacity to support future growth.
