Cullen/Frost to Move Stock Listing From NYSE to Texas Stock Exchange
Cullen/Frost Bankers is leaving the New York Stock Exchange for the Texas Stock Exchange, with its shares set to end NYSE trading at the close on Wednesday, Nov. 11, and begin trading on the TXSE at the open on Thursday, Nov. 12, according to an 8-K the San Antonio bank filed Thursday.
The company said it notified the NYSE on Oct. 29, acting with authorization from its board, of its intention to voluntarily withdraw its listings and transfer them to the TXSE.
Same tickers, new venue
The move covers both the bank's common stock and its depositary shares, each representing a 1/40th interest in a share of its 4.450% non-cumulative perpetual preferred stock, Series B. The securities will keep their existing symbols, CFR and CFR.PrB, the filing said.
Cullen/Frost said in its press release that shareholders do not need to take any action in connection with the transfer.
A Texas bet
"Since 1868, Frost has played a key role in supporting the growth of the Texas economy," Chairman and CEO Phil Green said in the release. He pointed to businesses and people in the finance sector migrating into Texas, "especially towards the 'Y'all Street' financial district that is emerging in Dallas."
"We believe moving our listing to the Texas Stock Exchange helps reinforce Cullen/Frost's position as the preeminent Texas-based financial institution," Green said.
James H. Lee, chairman and CEO of the Texas Stock Exchange, said in the same release that the exchange was "proud to have earned the primary listing of the largest Texas-headquartered bank."
About the bank
