Cisco appoints Cognite CEO Girish Rishi to its board
Cisco Systems has added Girish D. Rishi, chief executive of Cognite Holding B.V., to its board of directors, according to an 8-K filed Oct. 9.
The board approved the appointment on Oct. 7, effective Oct. 9. Cisco's board determined that Rishi is independent under Nasdaq listing standards. It has not yet decided which committees, if any, he will join.
Pay and terms
Rishi will receive Cisco's standard non-employee director compensation, the filing says. That includes a pro rata share of the $105,000 annual cash retainer, paid quarterly, for service through Cisco's 2026 annual meeting.
On his appointment, he automatically received a fully vested equity award under Cisco's 2005 Stock Incentive Plan, with a grant-date value equal to a pro rata portion of $270,000.
Directors can also take their cash fees in Cisco stock or deferred units. They may join Cisco's charitable matching gifts program, which matches up to $25,000 for non-employee directors in calendar 2026.
Rishi also signed Cisco's standard indemnity agreement, according to the 8-K.
