Clorox Names Unilever Executive Fabian Garcia CEO as Linda Rendle Steps Down
Clorox named Fabian Garcia, a Unilever executive and former Revlon chief, as its next chief executive, succeeding Linda Rendle, who said in May that she would step down for health reasons.
Garcia, 66, will become CEO and join the board on Jan. 5, 2027, the company said in an 8-K filed Thursday. The board approved the appointment on Wednesday, Oct. 28. Rendle will step down as CEO, chair and director on the same date and stay on as a senior advisor through April 2, 2027.
A consumer-goods veteran
Garcia has been Business Group President, Personal Care at Unilever since 2022, after joining the company in 2020 as President of North America, according to the filing. He was CEO of Revlon from 2016 to 2018 and spent 2003 to 2016 at Colgate-Palmolive in roles including Chief Operating Officer, Global Innovation and Growth. He began his career at Procter & Gamble.
He serves on the board of Wells Fargo and previously sat on the boards of Kimberly-Clark and Arrow Electronics.
"I am honored to join Clorox and grateful for the Board's confidence," Garcia said in the company's press release. "While there is more work ahead to strengthen performance and realize the company's full potential, I am energized by the opportunity and confident in Clorox's future."
New chair role
Matthew J. Shattock, Clorox's Lead Independent Director and a former chair, will become Independent Chair of the board when Garcia takes over, with an Independent Chair retainer of $225,000 on top of the regular director retainer, according to the 8-K. Shattock called Garcia an "accomplished global business leader" in the release.
Pay package
Garcia's offer letter sets a base salary of $100,000 and a target annual bonus of $2,000,000, to be paid in Clorox stock and prorated for fiscal 2027. He will get a prorated long-term incentive grant of $4,550,000, split 60% performance share units tied to fiscal 2027 through 2029 and 40% restricted stock units vesting over four years. His annual long-term incentive target will be $9,100,000 starting in September 2027.
He will also receive sign-on restricted stock units valued at $11,000,000, vesting over three years, to replace awards he forfeits by leaving his current employer, the filing said.
Rendle will keep her $1,350,000 base salary while serving as senior advisor, and her departure will be treated as a retirement under her long-term incentive awards.
Clorox will report fiscal first-quarter 2027 results on Monday, Nov. 2, and Rendle and Chief Financial Officer Luc Bellet will take part in the earnings call with analysts, the company said.
