Charter's chief commercial officer Adam Ray exits executive role after 21 years
Charter Communications' chief commercial officer is stepping out of the executive ranks. The company said Adam Ray no longer serves as executive vice president and chief commercial officer, effective Oct. 12, according to a regulatory filing Tuesday.
Ray will stay on as a non-executive adviser through Dec. 31, 2026, which Charter set as his departure date. The filing does not name a successor.
Severance and equity
Ray will receive the severance and other benefits his employment agreement provides for a termination without cause, plus the vesting already provided for in his equity award agreements, as long as he signs a separation and release agreement.
The company is also going further. Citing Ray's "services and contributions to the Company over 21 years," Charter said the portion of his time-vesting restricted stock units and stock options that would normally be forfeited on a termination without cause will instead keep vesting over the original schedule, as if he were still employed.
His vested stock options will remain exercisable until the earlier of their original expiration date or 60 months after the later of his departure date and the applicable vesting date.
Those added equity terms also depend on Ray signing the separation and release agreement.
The filing was signed by Jamal Haughton, Charter's executive vice president, general counsel and corporate secretary.
