CCC Revenue Rises 10% as Company Awaits $7.75-a-Share Take-Private Deal
CCC Intelligent Solutions grew third-quarter revenue 10.1% to $294.1 million and swung to a profit, in what is set to be one of its last reports as a public company before a pending $7.75-a-share buyout led by private equity firm GTCR, according to the earnings release it filed with an 8-K on Thursday.
Because of the deal, the insurance software provider said it is suspending its practice of giving guidance and will not hold a conference call or webcast on the results.
Profit swings positive
GAAP net income was $30.2 million, or 5 cents a diluted share, compared with a net loss of $2.0 million a year earlier. Adjusted net income rose to $75.1 million from $59.4 million.
Operating income nearly doubled to $57.4 million from $30.0 million, and adjusted EBITDA rose 18.5% to $130.5 million. Gross margin improved to 74% from 72%.
"CCC delivered strong third quarter results, with revenue growth of 10% and adjusted EBITDA margin of approximately 44%," Chairman and CEO Githesh Ramamurthy said in the release. He said the results reflect "the durability of our business" and the growing role the platform plays across the insurance economy.
Operating expenses showed some restraint. Selling and marketing expense fell to $38.0 million from $44.2 million, while research and development was roughly flat at $53.0 million, according to the income statement in the release.
AI revenue climbs
CCC said its AI-related revenue reached an annualized run rate of about $130 million in the third quarter, up 40% from a year earlier and up from about $120 million in the second quarter. The company described the trend as a shift among customers "from AI experimentation to AI deployment at scale."
It also said a top-five insurer, ranked by 2025 direct premium written, became the largest insurer to adopt its Medhub for Auto Casualty product, which uses AI to pull insights from complex medical records for claims handlers.
The pending sale
On Oct. 15, CCC agreed to be acquired by a consortium of private investment firms led by GTCR and including Elliott Investment Management. Shareholders would receive $7.75 a share in cash, giving the deal an enterprise value of about $6.1 billion.
The transaction is expected to close in the first quarter of 2027, subject to regulatory and stockholder approvals and other customary conditions. After closing, CCC will become a privately held company.
"The pending transaction with GTCR and Elliott marks an exciting next chapter for CCC and our customers," Ramamurthy said, adding that the company expects to accelerate the "AI and agentic capabilities our customers want from us."
Cash and debt
CCC generated $100.4 million in cash from operations and $82.5 million in free cash flow in the quarter, up from $94.8 million and $78.6 million a year earlier. It ended September with $202.9 million in cash and cash equivalents and $1.28 billion of total debt.
For the first nine months of 2026, revenue rose to $861.3 million from $779.1 million, and net income was $66.4 million, compared with a loss a year earlier.
