Boston Scientific names Joe Fitzgerald COO, splits business into three reporting segments
Boston Scientific is adding a chief operating officer and redrawing how it reports its business. The medical device maker said Wednesday that Joe Fitzgerald, who runs its cardiovascular group, will become executive vice president and COO on Jan. 1, 2027.
On the same date, the company will shift to three reportable segments: Interventional Therapies, Rhythm Solutions and MedSurg. Boston Scientific said the structure is meant to "enable faster decision making" and support how it allocates investment across its portfolio.
Fitzgerald, 63, joined the company in 1990 and has led the cardiovascular group since May 2022. As COO he will oversee global operations, business units and regions, according to the press release filed with an 8-K early Wednesday.
Chairman and CEO Mike Mahoney said the changes "reflect the scale and breadth of our business today and the opportunities ahead."
Who runs what
Three segment leaders will report to Fitzgerald. Lance Bates will run Interventional Therapies, which covers interventional cardiology, vascular therapies, and interventional oncology and embolization. The company said that segment will also include the Penumbra business once its pending acquisition closes.
Nick Spadea-Anello will lead Rhythm Solutions, home to electrophysiology, WATCHMAN, and cardiac rhythm management and diagnostics. Stephen Morse will become executive vice president and president of MedSurg and Asia Pacific, overseeing endoscopy, urology and neuromodulation.
The pay package
Fitzgerald's offer letter sets a base salary of $1,050,000 with an annual bonus target of 110% of salary. He is slated to receive a 2027 equity award with a grant-date fair value of $7 million in February 2027, made up of stock options and restricted stock units, including performance-based units, vesting 25% a year.
The filing also disclosed a finance handoff. Mark Bickel, 49, currently finance chief and global controller for the cardiovascular business, will become chief accounting officer on March 1, 2027. Emily Woodworth, who has held that post since January 2024, will move to a new role overseeing global finance control and finance transformation. The company said her move is not due to any disagreement over its financial statements or controls.
