BioMarin flags $283 million Alesta charge, about $1.50 hit to Q3 EPS
BioMarin Pharmaceutical warned investors Tuesday that its recent purchase of Alesta Therapeutics will take a sizable bite out of third-quarter earnings.
In a regulatory filing after the market closed, BioMarin said its third-quarter 2026 results will include pre-tax charges of approximately $283 million for acquired in-process research and development, or IPR&D, tied to the Alesta deal, which closed Aug. 31.
That charge, together with Alesta's ongoing operating expenses, will reduce both GAAP and non-GAAP diluted earnings per share by about $1.50 for the quarter, the company said.
For the full year, BioMarin expects the acquisition to generate total pre-tax charges of about $320 million, including the IPR&D expense plus operating, transaction and transition costs. That works out to an unfavorable impact of roughly $1.55 per diluted share on both a GAAP and non-GAAP basis.
BioMarin noted that its full-year 2026 guidance, issued Aug. 6, did not reflect the Alesta acquisition because it does not forecast acquired IPR&D charges. It plans to provide updated full-year guidance when it reports third-quarter results.
The company stressed that its results for the quarter ended Sept. 30 have not been finalized and that the figures are preliminary and unaudited.
BioMarin shares closed at $56.22 Tuesday, down 2.3%, before the filing.
